TriMetals Mining Announces Closing of Agents’ Option for Additional Units

VANCOUVER, BC–(Marketwired – June 08, 2017) –

TriMetals Mining Inc. (TSX: TMI) (OTCQX: TMIAF) (the “Company” or “TMI“) is pleased to announce that in connection with its recently closed brokered private placement for gross proceeds of $3.5 million (the “Offering“) announced in its news release of June 2, 2017, the syndicate of agents led by BMO Capital Markets and including PI Financial Corp. and GMP Securities L.P. (collectively, the “Agents“) exercised the agents’ option granted by the Company and have arranged for the purchase of an additional 1,458,270 units (the “Additional Units“). Each Additional Unit consists of one common share of the Company (a “Common Share“) and one-half of one Common Share purchase warrant of the Company (each whole Common Share purchase warrant, a “Warrant“). Each Warrant entitles the holder to purchase one Common Share at a price of $0.30 for a period of 30 months. As a result, the Company has received gross proceeds of $3,853,985 from the Offering.

Net proceeds from the sale of the Additional Units of approximately $329,000, combined with the net proceeds of approximately $3,249,000 received on June 2, 2017 (previously incorrectly disclosed as $3,048,000), will be used for the continued exploration and resource expansion at the Gold Springs gold-silver project and for general corporate purposes.

The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
